1. Acceptance of Terms
By accessing or using CrewBrix ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
CrewBrix provides an AI-powered field service management platform including automated voice agents, scheduling, customer relationship management, invoicing, and business analytics tools. The Service uses artificial intelligence and machine learning technologies. AI-generated outputs may be inaccurate and should be independently verified before relying on them for business decisions.
3. Account Registration
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old and legally able to enter into contracts. You must notify us immediately of any unauthorized use of your account.
4. Subscription and Payment
The Service is offered on a subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days notice. All fees are non-refundable except as expressly stated in our Refund Policy. You are responsible for all applicable taxes. Failure to pay may result in suspension or termination of your account.
5. Acceptable Use Policy
You agree not to: (a) use the Service for any unlawful purpose; (b) violate any laws or regulations; (c) infringe on intellectual property rights; (d) transmit harmful code or malware; (e) interfere with the Service's operation; (f) attempt to gain unauthorized access; (g) use the Service to harass, abuse, or harm others; (h) use automated means to access the Service except as permitted; (i) resell or redistribute the Service without authorization; (j) use the AI voice agents for fraudulent, deceptive, or illegal calls.
6. AI and Automated Services
The Service includes AI-powered features including voice agents, automated scheduling, and predictive analytics. You acknowledge that: (a) AI outputs may contain errors and should be verified; (b) AI voice agents will interact with your customers on your behalf; (c) you are responsible for ensuring AI interactions comply with applicable laws; (d) you must inform your customers when they are interacting with an AI agent as required by law; (e) we may record, transcribe, and analyze calls for service improvement.
7. Voice Services and Call Recording
Our AI voice agents may place and receive calls on your behalf. By using voice services, you consent to call recording and transcription. You are solely responsible for: (a) complying with all applicable call recording laws, including two-party consent states; (b) informing your customers about AI interactions and call recording; (c) obtaining any necessary consents from your customers; (d) the content and outcomes of AI-initiated communications.
8. Your Data and Content
You retain ownership of data you submit to the Service ("Your Data"). You grant us a license to use Your Data to provide and improve the Service. You are responsible for the accuracy and legality of Your Data. We may use anonymized and aggregated data for analytics and service improvement. We will handle Your Data in accordance with our Privacy Policy.
9. Intellectual Property
The Service, including its software, design, and content, is owned by CrewBrix and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Service without our written consent.
10. Third-Party Services
The Service may integrate with third-party services (e.g., payment processors, communication providers). Your use of third-party services is subject to their terms. We are not responsible for third-party services and do not endorse them. Third-party services may have their own privacy policies and terms that you should review.
11. Service Availability and Modifications
We strive to maintain Service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice when possible. We are not liable for any modification, suspension, or discontinuation of the Service. Scheduled maintenance will be communicated in advance when feasible.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. WE DO NOT WARRANT THE ACCURACY OF AI-GENERATED OUTPUTS. CREWBRIX IS A SOFTWARE PLATFORM AND DOES NOT PROVIDE LEGAL, FINANCIAL, CONTRACTING, OR PROFESSIONAL SERVICES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWBRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
14. Indemnification
You agree to indemnify, defend, and hold harmless CrewBrix and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; (d) your use of AI voice agents and automated communications; (e) any disputes with your customers.
15. Termination
You may terminate your account at any time through your account settings or by contacting us. We may suspend or terminate your account for violation of these Terms or for any reason with 30 days notice. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 90 days after termination, after which it will be deleted unless legally required to retain it.
16. Dispute Resolution
Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Arizona. You waive any right to participate in a class action. Small claims court actions and injunctive relief for intellectual property violations are exempt from this arbitration requirement.
17. Governing Law
These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Maricopa County, Arizona, and you consent to the jurisdiction of such courts.
18. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the Service with at least 30 days notice. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service.
19. General Provisions
These Terms constitute the entire agreement between you and CrewBrix. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger or acquisition. Notices to you will be sent to the email address on your account.
