Terms of Service

1. Acceptance of Terms
By accessing or using CrewBrix (the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Description of the Service
CrewBrix provides software for field-service businesses, including customer and lead workflows, jobs, scheduling and dispatch, estimates, invoicing and payments, team operations, Marketplace and connected-demand experiences, communications, recurring-service workflows, analytics, and Brix AI capabilities. Feature availability, limits, providers, eligibility, packaging, and implementation state can vary by plan, add-on, geography, account configuration, and current product state.

3. Accounts and Organization Authority
You must provide accurate information and keep account credentials secure. You are responsible for activity performed through your account except to the extent caused by CrewBrix. Organization owners and authorized administrators are responsible for assigning appropriate roles and permissions. You must notify CrewBrix promptly if you believe an account or credential has been compromised.

4. Subscriptions, Trials, Pricing, and Payment
Current plan pricing, included allowances, available trials, add-ons, usage charges, taxes, fees, and checkout terms are shown in the current CrewBrix pricing, catalog, checkout, order form, or applicable agreement. Those current commercial surfaces control over examples or older marketing materials. By starting a paid subscription or other recurring purchase, you authorize the applicable payment method to be charged according to the selected billing cadence and disclosed charges. Prices and packaging may change prospectively with notice where required or promised. You are responsible for applicable taxes unless CrewBrix is required to collect them.

5. Acceptable Use
You may not use the Service to violate law; infringe rights; distribute malware; bypass security, access, rate, entitlement, or permission controls; gain unauthorized access; interfere with the Service; impersonate another person or organization without authorization; send fraudulent, deceptive, abusive, or unlawful communications; or use CrewBrix communications, AI, Marketplace, payment, or automation features for unlawful activity.

6. Brix AI and Automated Services
Brix and other AI-supported features may summarize, recommend, draft, classify, communicate, or execute supported workflows using available business context. AI outputs can be incomplete, inaccurate, or inappropriate for a particular situation. You are responsible for reviewing outputs and approvals appropriate to your use case. CrewBrix is designed so platform-owned permissions, current business records, workflow rules, and approval requirements remain separate from AI memory or model output. Availability of a capability does not mean every action is authorized for every user or account.

7. Voice, Messaging, Recording, and Automated Communications
Where enabled, CrewBrix may support inbound or outbound calls, messages, voicemail, recording, transcription, summaries, reminders, follow-up, or other communications. You are responsible for configuring your use in accordance with applicable law, customer expectations, consent requirements, do-not-contact obligations, and industry rules that apply to your organization. Provider availability and delivery are not guaranteed.

8. Text Messaging (SMS) Program Terms
These terms apply when you or your customers opt in to receive text messages from CrewBrix or from a business that uses CrewBrix. Program: CrewBrix transactional and customer-care text messages sent on behalf of home-service businesses, including appointment confirmations, reminders and reschedule notices, technician on-the-way notices, links to estimates and invoices, scheduling questions, and replies to customer questions. Message frequency varies with service activity. Message and data rates may apply. Reply STOP to cancel at any time; you will receive one confirmation message and no further messages unless you opt in again. Reply HELP for help, or contact support@crewbrix.ai. Carriers are not liable for delayed or undelivered messages. Consent to receive text messages is not a condition of purchase. Mobile information is handled as described in the Privacy Policy, which states that it is not shared with third parties or affiliates for marketing or promotional purposes. 9. Marketplace and Connected Demand
CrewBrix Marketplace and connected-demand features may help businesses receive, attribute, evaluate, route, respond to, quote, book, or otherwise manage customer demand. Availability can vary by market, provider, plan, eligibility, and product state. CrewBrix does not guarantee a volume of leads, customers, jobs, bookings, revenue, contractor availability, or conversion results. Unless CrewBrix expressly agrees otherwise in writing, CrewBrix is a software and network provider, not the contractor performing field work and not the customer purchasing that work. Marketplace participants remain responsible for licensing, insurance, qualifications, pricing, customer agreements, taxes, quality, safety, and performance of their own services.

10. Payments, Recurring Billing, and Customer Authorization
Where payment or recurring-billing features are enabled, you are responsible for the accuracy of amounts you charge and for obtaining authorization required to invoice, store a payment method, initiate a charge, or collect recurring payments from your customers. Payment processing may be provided by third parties and is subject to provider requirements. Payment timing, reversals, disputes, fees, and settlement can depend on the provider and transaction.

11. Your Data and Content
As between you and CrewBrix, you retain ownership of data and content you submit to the Service ("Your Data"). You grant CrewBrix the rights reasonably necessary to host, process, transmit, transform, display, secure, back up, and otherwise use Your Data to provide, support, protect, and improve the Service as described in the Privacy Policy and applicable agreements. You are responsible for having the rights and lawful basis necessary to provide and use Your Data through CrewBrix.

12. CrewBrix Intellectual Property
The Service, including CrewBrix software, product design, trademarks, content, documentation, and other materials provided by CrewBrix, is owned by CrewBrix or its licensors and protected by applicable law. Subject to these Terms, CrewBrix grants you a limited, non-exclusive, non-transferable right to use the Service for your organization's internal business purposes during the applicable subscription or permitted access period.

13. Third-Party Services and Integrations
The Service may connect to third-party providers for payments, communications, email, AI, calendars, accounting, lead sources, identity, maps, analytics, or other functions. Third-party services are subject to their own terms, policies, availability, and technical limits. CrewBrix is not responsible for a third party's independent service, outage, suspension, policy change, or data practice.

14. Service Availability and Changes
CrewBrix may add, modify, limit, suspend, or retire features as the Service evolves. We aim to communicate material changes reasonably when practical, but we do not promise uninterrupted or error-free availability. Beta, preview, Marketplace, connector, AI, provider-dependent, or eligibility-dependent capabilities may change more frequently.

15. Cancellation, Suspension, and Termination
You may cancel a subscription through available account controls or by contacting CrewBrix where account controls are not available. Access after cancellation depends on the billing period, order terms, and applicable agreement. CrewBrix may suspend or terminate access for nonpayment, security risk, unlawful activity, material breach, abuse, or other reasons allowed by these Terms or applicable law. Data handling after termination follows the Privacy Policy and applicable agreements rather than a single universal retention period.

16. Refunds
Refund eligibility is governed by the Refund Policy, the checkout or order terms that applied to the purchase, and any written agreement between CrewBrix and the customer. Cancellation does not automatically create a right to a refund.

17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CREWBRIX DISCLAIMS IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CREWBRIX DOES NOT WARRANT THAT THE SERVICE, THIRD-PARTY SERVICES, MARKETPLACE DEMAND, OR AI OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR SUITABLE FOR EVERY USE CASE. CREWBRIX IS A SOFTWARE PLATFORM AND DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, CONTRACTING, TRADE, SAFETY, OR OTHER PROFESSIONAL SERVICES.

18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREWBRIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE. EXCEPT WHERE LAW PROHIBITS THIS LIMITATION OR AN APPLICABLE WRITTEN AGREEMENT STATES OTHERWISE, CREWBRIX'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID TO CREWBRIX FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless CrewBrix and its officers, directors, employees, and agents from third-party claims, damages, liabilities, costs, and expenses arising from your unlawful use of the Service, your violation of these Terms, Your Data, services you provide to customers, or your use of communications, AI, Marketplace, payment, or automation features in violation of applicable requirements.

20. Dispute Resolution
Except where prohibited by law or superseded by a written agreement, disputes arising from these Terms will be resolved through binding arbitration administered by the American Arbitration Association under its applicable commercial rules. Arbitration will take place in Arizona unless the parties agree otherwise. You and CrewBrix waive participation in class or representative actions to the extent permitted by law. Small-claims matters and requests for injunctive relief concerning intellectual-property or security misuse may be brought in an appropriate court.

21. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except to the extent another law must apply. Where court proceedings are permitted, the parties consent to appropriate state or federal courts located in Maricopa County, Arizona, unless applicable law requires another venue.

22. Changes to These Terms
CrewBrix may update these Terms as the Service and applicable requirements evolve. We will update the Last Updated date and provide additional notice when appropriate for a material change. If a change requires affirmative acceptance, CrewBrix may require that acceptance before continued use of the affected Service.

23. General and Contact
These Terms, together with incorporated policies and any applicable order form or written agreement, form the agreement governing the Service. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without CrewBrix's consent except as permitted by law; CrewBrix may assign them in connection with a reorganization, merger, financing, sale, or similar transaction.
